The supplier must have a demonstrated capacity to carry out supplies in compliance with the specifications and applicable standards required by SRF Mecadvance, S.L. To this end, suppliers are evaluated and selected, and must become part of a list of approved suppliers.
Acknowledgement of receipt of an order by the seller confirms the sale-purchase contract and makes it binding, as the seller thereby accepts the conditions and terms of the order.
The seller will be responsible for ensuring that the manufacture of the goods and materials covered by the order strictly complies with the specifications, requirements, design and drawings indicated in the order and/or its annexes.
Quantities and/or dates in excess of those set out in the order will not be considered received by SRF Mecadvance, S.L. unless expressly authorized. Should SRF Mecadvance, S.L. accept such receipt, the valid delivery date for payment purposes will be the one indicated in the order.
Receipt will take place at the facilities of SRF Mecadvance, S.L. before the maximum deadline set out in the order.
In the event of rejection, SRF Mecadvance, S.L. will be entitled, at its discretion, to require the seller to replace the goods and materials or to declare the order partially terminated with respect to the rejected items, and may claim compensation from the seller for any damages caused by such rejection.
SRF Mecadvance, S.L., either directly or through a delegated third party, will have the right to inspect the manufacture of the goods and materials covered by the order and may order any analyses, tests or trials it deems appropriate. SRF Mecadvance, S.L. reserves the right to terminate the order, treating it as breached, if the inspection shows that the seller is unable to fulfil the technical, commercial or other obligations assumed in the order.
SRF Mecadvance, S.L. or its client reserve the right to access the subcontractor's facilities, with 48 hours' prior notice, for inspection or audit purposes regarding the product or goods supplied.
These must not be used for purposes other than fulfilling the order and will be considered to be held in custody by the seller, who must adequately insure them at their own cost and expense.
The seller guarantees that the goods and materials supplied under the order have not been manufactured or marketed in breach or infringement of third-party patents or industrial property rights that could in any way restrict their free use and marketing by SRF Mecadvance, S.L. The seller expressly undertakes to defend, protect and hold harmless SRF Mecadvance, S.L., its successors and clients against any claim, demand or action arising from infringement of any type of industrial property, whether national or foreign, in connection with the use, manufacture or marketing by SRF Mecadvance, S.L. of the goods and materials covered by the order.
All drawings, specifications or any other technical documentation provided by SRF Mecadvance, S.L. will remain its exclusive property. The seller will not use them for any purpose other than supplying SRF Mecadvance, S.L. with the goods and materials covered by the order. Without SRF Mecadvance, S.L.'s prior written authorization, the seller may not assign, transfer or in any way make this documentation available to third parties, including its own suppliers, and must return it without delay upon completion of the order.
The supplier will keep the records associated with the orders or contracts for the access period established under standard EN 9130.
The seller may not, without the prior written consent of SRF Mecadvance, S.L., advertise or disclose in any way its business relationship with SRF Mecadvance, S.L. The seller undertakes to maintain strict confidentiality regarding any information, data, documents or secrets of an industrial, commercial or other nature belonging to SRF Mecadvance, S.L. or its clients that it may become aware of in the course of fulfilling the order.
The supplier must notify SRF Mecadvance, S.L. of any non-conforming products, obtaining its explicit approval for their supply where necessary.
In the event of changes to the supplier's process, product or location, SRF Mecadvance, S.L. must be notified immediately. Likewise, if the supplier subcontracts work to its own supply chain, it must inform SRF Mecadvance, S.L. and obtain its approval.
The supplier will guarantee that the products or parts supplied are genuine, establishing appropriate controls to prevent the appearance of counterfeit parts. The supplier will train key personnel within its organization on their contribution to product quality, product safety and ethical conduct.
All of SRF Mecadvance, S.L.'s critical suppliers will be evaluated monthly based on their on-time and conforming delivery performance. Where a supplier fails to meet the organization's requirements, appropriate corrective actions will be requested, and the supplier may be disqualified if these prove ineffective.
The purpose of SRF Mecadvance is to supply a product or service whose quality has been produced and sustained at an economical cost and that fully satisfies the client.
